Terms of Use

1. Agreement

These Terms of Use ("Terms") are an agreement between you and Rivus LLC ("Rivus", "we", "us") for the Companion app and related services (the "Service"). By using the Service you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

The Service is distributed through Apple's App Store. These Terms are between you and Rivus, not Apple. Apple is not responsible for the Service or its content. Section 15 includes terms Apple requires.

2. Eligibility: 18+ only

You must be at least 18 years old (or the age of majority where you live, if higher) to use the Service. You will be asked to confirm your age when you first open the app. Providing a false age is a breach of these Terms. We may close accounts we reasonably believe belong to someone under 18.

3. Your account

The app creates an anonymous account for your install automatically. You do not need to give us your name or email. You are responsible for activity on your device and account. Because the account is anonymous, you may lose access to your data if you delete the app, reinstall it, or change devices, unless you can restore your account. Purchases can be restored through Apple (see Support).

4. AI-generated content

• Fictional characters. Companions are fictional people or aliens powered by artificial intelligence. They are not real, are not conscious, and are not human. No human writes their replies.
• AI-generated output. Chat replies, memories, voice notes, portraits and scene photos are generated by AI. Output may be inaccurate, inconsistent, unexpected or offensive despite our safety measures. Do not rely on it as fact.
• Not professional advice. Nothing in the Service is medical, mental health, legal, financial or other professional advice, and companions are not therapists or counselors. Consult a qualified professional for advice.
• Not an emergency service. If you are in crisis or thinking about harming yourself, contact local emergency services right away. In the US, call or text 988 (Suicide & Crisis Lifeline). The app also shows in-app crisis resources that include 988.
• Similarity. Generated content may resemble content created for other users. Any resemblance of a companion or image to a real person is unintended.

5. Acceptable use

You agree not to use the Service to create, request, share or upload content, or to steer a companion toward content, that:

• sexualizes minors, depicts minors in any romantic or sexual context, or presents a companion as under 18 in such contexts;
• involves non-consensual sexual activity, sexual violence, or exploitation;
• uses the name, likeness or identity of a real person, including celebrities and people you know;
• depicts nudity or explicit sexual imagery (swimwear is allowed);
• involves animals in any romantic or sexual context, or presents companions as animals;
• promotes self-harm, terrorism, or violent extremism, or gives instructions for serious harm or illegal activity;
• harasses, threatens, or promotes hate against people based on protected characteristics;
• infringes intellectual property or privacy rights, or includes other people's personal information;
• is otherwise illegal.

You also agree not to bypass or test our safety systems, age gate, limits or payments; reverse engineer, scrape or overload the Service; use bots or automation; resell access; or impersonate others.

We apply automated, context-aware moderation to messages, companion descriptions, personas and generated images, including an age check on images. Content that fails moderation may be blocked, changed or removed. Moderation is not perfect, and we are not obligated to monitor all content, but we may review content to enforce these Terms and keep the Service safe. We may report apparent child sexual exploitation to the National Center for Missing & Exploited Children and to law enforcement.

6. Romance and Companion Plus

Romantic and flirtatious role-play is available only with Companion Plus. Free companions stay platonic. Even with Plus, the rules in Section 5 always apply.

7. Your content and the public gallery

Your content. You keep any rights you have in the text you write (companion descriptions, personas, messages). You give Rivus a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce and display that content as needed to operate, moderate and improve the Service. For companions you publish to the gallery, this license includes displaying them to other users and letting other users chat with them, until you unpublish them or delete your account.

Generated content. Subject to these Terms and the terms of our AI providers, we assign to you any rights we have in AI output generated for you, for personal, non-commercial use. AI output may not be protected by copyright, and similar output may be generated for others.

Gallery rules. Every companion submitted to the public gallery is reviewed and approved by us before it appears. We may decline, remove or unpublish any companion at any time, for any reason, including for breaking these Terms. Approval does not mean we endorse a companion. Published companions must follow Section 5 and must not include personal information.

Reporting and blocking. You can report companions, photos and messages in the app, and you can block content you don't want to see. We review reports and act on them, usually within 24 hours, which may include removing content and suspending or closing the account responsible. You can also report content to support@rivussystems.com.

Copyright complaints. If you believe content infringes your copyright, email support@rivussystems.com with the work, the content, your contact details, and a statement of good faith.

8. Subscriptions (Companion Plus)

Companion Plus is an auto-renewing monthly subscription at $19.99 per month (or the local equivalent shown in the App Store). It currently includes romance (Sweet and Flirty companions), 300 messages per day (free: 15), 8 photos per week, 30 minutes of voice notes per month (measured in exact seconds, each note rounded up to the next whole second, over a rolling 30 days), and voice mode, which lets you talk instead of typing using your device's microphone (speech is converted to text on your device where supported, otherwise by Apple, and only the resulting text is sent to us). Included amounts may change; we will show current amounts in the app before you purchase.

• Payment will be charged to your Apple ID account at confirmation of purchase.
• The subscription automatically renews unless it is canceled at least 24 hours before the end of the current period.
• Your account will be charged for renewal within 24 hours before the end of the current period, at the then-current price.
• You can manage and cancel your subscription in your device's Settings app: tap your name, then Subscriptions. Deleting the app or your account does not cancel your subscription.
• Free trial. New subscribers may be eligible for a 3-day free trial. The trial converts to a paid subscription automatically unless you cancel at least 24 hours before the trial ends. Any unused portion of a free trial is forfeited when you purchase a subscription.
• Refunds for subscriptions are handled by Apple under Apple's policies. You can request one at reportaproblem.apple.com.
• If we change the price, Apple will notify you and, where required, ask for your consent before renewal.

9. Tokens

Tokens are a virtual in-app item used to go beyond free or plan limits. Token packs are one-time (consumable) purchases: 500 tokens for $4.99, 1,100 tokens for $9.99, and 2,400 tokens for $19.99 (or local equivalents). Currently, one message past your daily limit costs 1 token, one photo costs 25 tokens, and extra voice-note audio beyond your monthly minutes costs 15 tokens per minute (billed by the second, at least 1 token on hand to start an extra note). We may change token costs going forward, and the app will show current costs. We may grant small amounts of free tokens, for example as daily login rewards.

• Tokens are a limited license to use features of the Service. They have no cash value, cannot be transferred, sold or exchanged for money, and are not property.
• Tokens are non-refundable, except as required by Apple's policies or applicable law.
• Unused tokens are lost if you delete your account or if your account is terminated for breaking these Terms. Tokens are tied to your Companion account and do not expire otherwise.
• If we discontinue the Service, we will give reasonable notice and handle unused purchased tokens as required by law.

10. Deleting your account

You can delete your account at any time in the app (Settings & account → Delete account). This permanently deletes your account and all server data, including chats, memories, personas, companions, images, voice notes and your token balance, and removes your gallery companions. Unused tokens are lost. A minimal, unlinked record of App Store purchases is kept for refunds and legal obligations, as described in our Privacy Policy. It cannot be undone. Cancel any subscription through Apple first.

11. Suspension and termination

We may suspend or terminate your access, remove content, or reset features if you break these Terms, if required by law, or to protect users or the Service. Serious violations, such as any content involving minors, lead to immediate termination. Where reasonable, we will tell you why. If you believe we made a mistake, contact us. We may change or discontinue features or the Service at any time; for paid features we will act as required by Apple's policies and law.

12. Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, RIVUS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT AI OUTPUT WILL BE ACCURATE OR APPROPRIATE, OR THAT DATA WILL NEVER BE LOST.

13. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, RIVUS AND ITS OWNERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR ANY CONTENT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US $50. Some places do not allow these limits, so they may not fully apply to you. Nothing in these Terms limits rights you have under consumer protection laws that cannot be waived.

14. Indemnity

To the extent allowed by law, you agree to indemnify Rivus against claims, losses and costs (including reasonable legal fees) arising from your content or your breach of these Terms.

15. Apple terms

• These Terms are between you and Rivus only. Apple is not responsible for the Service or its content and has no obligation to provide maintenance or support.
• If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price of the app (if any). Apple has no other warranty obligation to the extent allowed by law.
• Rivus, not Apple, is responsible for addressing claims relating to the app, including product liability, legal or regulatory compliance, consumer protection, and intellectual property infringement claims.
• You confirm you are not located in a country subject to a US government embargo or listed on any US government list of prohibited or restricted parties.
• You must comply with third-party terms that apply when using the app, including the Apple Media Services Terms.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

16. Governing law and disputes

These Terms are governed by the laws of the State of Iowa, without regard to conflict-of-law rules. Before filing a claim, please contact us so we can try to resolve it informally. Any dispute will be resolved in the state or federal courts located in Muscatine County, Iowa, unless the law where you live gives you the right to bring claims in your local courts. If you live in the EU or UK, you keep the protections of your local consumer laws.

17. Changes

We may update these Terms. We will change the date at the top and, for material changes, notify you in the app before they take effect. Continuing to use the Service after changes take effect means you accept them.

18. General

If any part of these Terms is unenforceable, the rest stays in effect. Our failure to enforce a term is not a waiver. You may not transfer these Terms; we may transfer them in connection with a merger, acquisition or sale of assets. These Terms and the Privacy Policy are the entire agreement between you and Rivus about the Service.
